These Terms of Service ("Terms") govern your access to and use of the website at tdmedia.io and any services provided by TRIDENT DIGITAL MEDIA SRL, trading as TD Media ("we," "us," or "our"). By accessing this website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

TD Media is a performance-first digital advertising agency. Our services include, but are not limited to:

• Lead generation campaigns: Design, management, and optimisation of paid advertising campaigns (Meta Ads, Google Ads) intended to generate qualified leads for clients.
• Paid media management: Strategic management of advertising budgets across Meta Ads, Google Ads, and other platforms.
• Creative production: Design of advertising creatives, landing pages, and conversion assets.
• Performance analytics & reporting: Campaign performance tracking using Google Analytics 4, GoHighLevel Analytics, and Google Tag Manager; periodic reports delivered to clients.
• CRM & funnel management: Setup and management of GoHighLevel CRM pipelines for lead nurturing and client communications.
• Strategy consulting: Digital marketing strategy, audience research, and conversion rate optimisation.

Specific deliverables, timelines, fees, and campaign parameters are set out in individual Agreements or Statements of Work signed with each client.

3. Use of the Website

You may use tdmedia.io for lawful purposes only. You agree not to:

• Use the website in any way that violates applicable Romanian, EU, or international law.
• Transmit unsolicited advertising, spam, or promotional material.
• Attempt unauthorised access to any part of the website, its servers, or connected systems.
• Use automated tools (bots, scrapers, crawlers) to harvest data from the website without our prior written consent.
• Interfere with the proper working of the website or disrupt other users' access.

4. Intellectual Property

All content on this website — including text, graphics, logos, images, videos, and code — is the property of TRIDENT DIGITAL MEDIA SRL or its licensors and is protected under Romanian and EU intellectual property law. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Client-owned creative assets and campaign materials remain the property of the respective client as agreed in the relevant service agreement.

5. Lead Generation & Data Processing — Client Responsibility

When TD Media runs lead generation campaigns on behalf of clients:

• The client is the Data Controller of all lead data collected via campaigns (names, email addresses, phone numbers, etc.).
• TD Media acts as a Data Processor under GDPR Art. 4(8) and processes that data solely on the client's behalf and per their instructions.
• Clients are responsible for ensuring their use of lead data complies with GDPR and applicable law, including having a valid legal basis for collection (e.g. consent, legitimate interests) and providing appropriate privacy notices to leads.
• A Data Processing Agreement (DPA) must be signed between TD Media and the client prior to commencement of any lead generation campaign. By engaging our services, you acknowledge this requirement.
• Clients must not instruct TD Media to process personal data in a manner that would violate GDPR or any applicable data protection law.

6. Third-Party Platforms

Our services involve the use of third-party platforms including Meta Ads, Google Ads, Google Analytics 4, Google Tag Manager, and GoHighLevel. By engaging our services, you acknowledge that:

• Your advertising accounts on these platforms are subject to their respective Terms of Service and Advertising Policies.
• TD Media is not responsible for policy decisions, account suspensions, or changes made by these platforms.
• Ad spend on third-party platforms is separate from our service fees and is billed directly by the respective platform or managed through agreed client ad accounts.

7. No Guarantee of Results

Advertising performance depends on many variables including market conditions, platform algorithms, audience behaviour, creative quality, and budget levels. TD Media does not guarantee specific results, lead volumes, return on ad spend (ROAS), or revenue outcomes from any campaign. All performance projections provided are estimates based on available data and industry benchmarks.

8. Payment Terms

Payment terms, service fees, and billing schedules are governed by the individual client agreement. Unless otherwise agreed:

• Invoices are issued monthly in advance or upon project milestones.
• Payment is due within 14 calendar days of invoice date.
• Late payments may incur statutory interest under Romanian law (Law No. 72/2013 on combating late payment).
• TD Media reserves the right to suspend services if payments are overdue by more than 30 days.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared in the course of the business relationship, including campaign strategies, client data, business financials, and technical systems. This obligation survives the termination of the service agreement.

10. Booking & Enquiries

Submitting a contact form or booking a discovery call on our website does not constitute a binding service agreement. Any engagement will be formalised through a signed written contract or service agreement.

11. Third-Party Links

Our website may contain links to third-party websites for reference purposes. We have no control over those sites and accept no responsibility for their content, privacy practices, or availability.

12. Disclaimer of Warranties

Our website is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or availability of the website or its content. We disclaim all warranties to the fullest extent permitted by Romanian and EU law.

13. Limitation of Liability

To the fullest extent permitted by applicable law, TRIDENT DIGITAL MEDIA SRL shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the website or our services. In all cases, our total liability shall not exceed the total fees paid by you for the specific service giving rise to the claim in the three months preceding the event.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Romanian law.

14. Indemnification

You agree to indemnify and hold harmless TRIDENT DIGITAL MEDIA SRL, its directors, employees, and agents against any claims, losses, damages, and costs (including legal fees) arising from: your breach of these Terms; your violation of any applicable law; or your infringement of any third-party rights.

15. Privacy & Cookies

Your use of this website is governed by our Privacy Policy and Cookie Policy, which are incorporated by reference into these Terms.

16. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Romania. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania, without prejudice to mandatory consumer protection provisions that may apply in your country of residence under EU law.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes take effect immediately upon posting. The "Last updated" date reflects the most recent revision. Continued use of the website after any change constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
